These Terms of Service (“Terms”) govern your access to and use of Persocrat (“Persocrat”, “we”, “us”, or “our”) services, including our website at https://persocrat.com (the “Website”) and the Persocrat application (the “App”) (together, the “Services”). By accessing or using our Services, you agree to be bound by these Terms, including any additional terms and policies referenced herein. If you do not agree, you may not use the Services.
We may update these Terms from time to time. Any changes will be posted on this page, and your continued use of the Services constitutes acceptance of those changes.
Our Privacy Policy explains how we collect, use, and protect your personal information. While it is not part of these Terms, it is an important document that you should review.
Persocrat is a platform designed to help users explore, simulate, and experiment with personas, prompts, and creative scenarios. Our mission is to provide a safe, private, and intuitive environment for personal and professional exploration.

Registration and access
Minimum age: By using the Services, you represent that you are at least the age of majority in your jurisdiction, or have permission from a parent or guardian if under 18. You may not use the Services for any illegal or unauthorized purpose.
Registration: To use the Services, you must create an account and provide accurate, complete, and up-to-date information. You may not share your account credentials or allow anyone else to access your account, and you are responsible for all activity that occurs under your account.
If you create an account or use the Services on behalf of another person or organization, you must have the authority to accept these Terms on their behalf.
Using our Services
What You Can Do. Subject to your compliance with these Terms, you may access and use our Services. In using the Services, you must follow all applicable laws and any guidelines, documentation, or policies we provide.
What You Cannot Do. You may not use the Services for any illegal, harmful, or abusive activity. Examples of prohibited conduct include:

Misrepresenting generated outputs as human-created when they are not.
Interfering with or disrupting the Services, including bypassing rate limits, protective measures, or safety controls.
Transmit malicious code, viruses, or other harmful content.
Interfere with security features or the operation of the Services.
We reserve the right to suspend or terminate access to the Services for violations of these rules.
Third-Party Services. Our Services may include software, products, or services from third parties (“Third-Party Services”). Some features, including our Artificial intelligence tools, may generate content using these services (“Third-Party Output”). Third-Party Services and Third-Party Output are governed by their own terms, and we are not responsible for their content, accuracy, or practices.
Feedback. We welcome your feedback and suggestions. By providing feedback, you grant Persocrat the right to use, reproduce, modify, and incorporate it into our Services without restriction or compensation to you.
Your Content. You may provide input to the Services (“Input”) and receive output generated by the Services based on that Input (“Output”). Input and Output are collectively referred to as “Content.” You are responsible for all Content you provide, including ensuring that it does not violate applicable laws or these Terms. You represent and warrant that you have all rights, licenses, and permissions necessary to provide Input to the Services.
Ownership of Content. You retain ownership of any Content you submit. By using the Services, you grant Persocrat a worldwide, non-exclusive, royalty-free license to use, reproduce, modify, and display your Content for the purpose of operating, maintaining, improving, and developing the Services, complying with legal obligations, enforcing our Terms and policies, and ensuring safety. This license does not give Persocrat rights over Content submitted by other users or any Third-Party Output.
Similarity of Content. Due to the nature of Artificial intelligence technology, generated Output may not be unique. Other users may receive similar or identical Output from the Services. The license you grant to Persocrat does not extend to other users’ Output or any Third-Party Output.
Our Use of Content. We may use Content to provide, maintain, improve, and develop the Services, comply with legal obligations, enforce policies, and protect users and the Services.
Accuracy and Limitations. Artificial intelligence and machine learning are rapidly evolving fields. Output from the Services may not always be accurate, complete, or reliable. You should not rely on Output as a sole source of truth or as a substitute for professional advice.
When using the Services, you understand and agree that:
Output may not always be factually accurate.
You are responsible for evaluating Output for accuracy and appropriateness, including using human review as needed, before using or sharing it.
You must not use Output relating to an individual for decisions that could have legal or material effects on them, such as credit, education, employment, housing, insurance, legal, medical, or other important matters.
Output may be incomplete, incorrect, or offensive, and does not represent Persocrat’s views. References to third-party products or services do not indicate endorsement or affiliation.
The Services may include links to third-party websites, platforms, or services, including for payments, support, or informational content. We are not responsible for the privacy practices, content, or security of these third parties. Before providing any personal information to a third party, please review their privacy policies and terms of use.
Billing. If you purchase any Services, you agree to provide complete and accurate billing information, including a valid payment method. For paid subscriptions, we will automatically charge your payment method on each agreed-upon renewal until you cancel. You are responsible for any applicable taxes, which we will charge where required by law. If a payment cannot be completed, we may suspend your access to the Services or downgrade your account until payment is received.
Cancellation. You may cancel your paid subscription at any time. Payments are non-refundable except where required by law. These Terms do not override any mandatory local laws regarding your cancellation rights.
Changes to Pricing. We may change our prices from time to time. If we increase subscription prices, we will provide at least 30 days’ notice. Any price increase will take effect on your next renewal, giving you the opportunity to cancel if you do not agree to the new price.
Account Responsibility. You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. You agree to provide accurate and up-to-date information when creating or updating your account.
You may stop using our Services at any time. We reserve the right to suspend or terminate your access, or delete your account, if we determine that:
You have violated these Terms or any usage policies.
We are required to do so to comply with applicable law.
Your use of the Services could create a risk or cause harm to Persocrat, our users, or others.
Termination does not relieve you of any obligations or liabilities incurred prior to termination.
Appeals. If you believe your account was suspended or terminated in error, you may contact our Support team to submit an appeal. We will review your request and respond accordingly.
We may choose to discontinue the Services at any time. If we do, we will provide advance notice and issue a refund for any prepaid, unused Services.
Disclaimer of Warranties.
Our Services are provided “as is” and “as available.” To the extent permitted by law, Persocrat, its affiliates, and licensors make no warranties, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, satisfactory quality, non-infringement, or uninterrupted and error-free service. We do not guarantee that Content or Outputs from the Services will be accurate, secure, or free from loss or alteration. Any use of Outputs is at your sole risk, and you should not rely on them as the sole source of truth or a substitute for professional advice.
Limitation of Liability.
Neither Persocrat nor its affiliates, licensors, or suppliers will be liable for any indirect, incidental, special, consequential, or exemplary damages, including loss of profits, data, goodwill, or use, even if advised of the possibility of such damages. Our total liability under these Terms will not exceed the greater of the amount you paid for the Services that gave rise to the claim in the 12 months preceding the claim, or $100.
Some jurisdictions do not allow the disclaimer of certain warranties or the limitation of certain damages, so these limitations may not fully apply to you, and you may have additional rights. In such cases, our responsibility is limited to the maximum extent allowed by law.
Persocrat’s affiliates, suppliers, licensors, and distributors are intended third-party beneficiaries of this section.
You agree to indemnify, defend, and hold harmless Persocrat, its affiliates, licensors, and service providers from any claims, damages, losses, or expenses, including reasonable attorneys’ fees, arising from:
Your violation of these Terms or applicable law.
Your use of the Services or Content.
If you are a business or organization, to the extent permitted by law, you will also be responsible for any third-party claims, costs, or liabilities resulting from your use of the Services or Content, or from any breach of these Terms.
Assignment. You may not assign or transfer any rights or obligations under these Terms, and any attempt to do so will be void. Persocrat may assign its rights or obligations under these Terms to any affiliate, subsidiary, or successor in interest.
Changes to Terms or Services. We may update these Terms or our Services from time to time for reasons including:

Security or safety considerations.
Circumstances beyond our control.
Routine updates in the development of our Services.
Adaptation to new technologies.
We will provide at least 30 days’ notice for changes that materially adversely affect you, via email or in-product notification. Other updates take effect when posted on our Website. If you do not agree to the changes, you must stop using the Services.
Delay in Enforcement. Our failure to enforce any provision is not a waiver of our right to enforce it later. If any portion of these Terms is found invalid or unenforceable, that portion will be enforced to the maximum extent allowed, and the remainder will remain in effect.
Trade Controls. You must comply with all applicable trade laws, including sanctions and export control laws. Our Services may not be used in, exported to, or for the benefit of embargoed countries or restricted individuals or entities. Input may not include material requiring a government license for release or export.
Entire Agreement. These Terms, along with any Service-specific terms, constitute the entire agreement between you and Persocrat regarding the Services and supersede any prior agreements.
Governing Law. These Terms are governed by the laws of Canada. Any disputes arising from these Terms will be resolved in accordance with applicable Canadian law.
